Welcome to QWS, a division of QEXION LABS. By accessing our website qws.qexion.com or engaging our web development services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you ("Client," "you," or "your") and QWS/QEXION LABS ("we," "us," or "our").

QWS (Qexion Web Services) provides professional digital services, including but not limited to:

• Web Design – Custom UI/UX design, responsive layouts, brand-aligned visuals

• Web Development – Custom websites, landing pages, corporate sites

• Web Applications – Full-stack web apps, dashboards, portals, SaaS platforms

• Mobile Apps – iOS and Android app development, cross-platform solutions

• E-commerce – Online stores, payment integration, inventory management

• Digital Marketing – SEO, social media marketing, content strategy, analytics

• AI & Automations – AI-powered solutions, workflow automation, chatbots, integrations

• Maintenance – Ongoing support, updates, security patches, performance optimization

Specific services, deliverables, timelines, and pricing are defined in individual project agreements or statements of work.

As a client, you agree to:

• Provide accurate and complete information for your project

• Supply all necessary content, materials, and assets in a timely manner

• Respond to communications and requests for feedback within reasonable timeframes

• Ensure you have the rights to use any content you provide

• Make payments according to agreed-upon terms

• Review and approve deliverables within specified timeframes

• Comply with all applicable laws and regulations

• Payment schedules are defined in individual project agreements

• Standard terms require a deposit before work begins

• Invoices are due within 14 days unless otherwise specified

• Late payments may incur interest charges and project delays

• We reserve the right to suspend work on accounts with overdue balances

• All fees are non-refundable unless otherwise stated in your agreement

• Project scope is defined in your statement of work or project agreement

• Changes to scope ("change requests") must be submitted in writing

• Change requests may affect project timeline and cost

• Additional work outside the original scope requires separate approval and payment

• We will provide estimates for change requests before proceeding

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from these Terms or our services shall not exceed the total amount paid by you for the specific project giving rise to the claim.

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.

• We are not responsible for delays or failures caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, or third-party service failures.

These limitations apply regardless of the legal theory upon which the claim is based.

You agree to indemnify, defend, and hold harmless QWS, QEXION LABS, and our officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your use of our services or deliverables

• Your violation of these Terms

• Your violation of any third-party rights

• Content, materials, or information you provide

• Your breach of any representations or warranties

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This includes business strategies, technical specifications, pricing, and any information marked as confidential.

Confidentiality obligations do not apply to information that:

• Is publicly available through no fault of the receiving party

• Was known to the receiving party before disclosure

• Is independently developed without use of confidential information

• Is required to be disclosed by law

In the event of a dispute:

1. The parties will first attempt to resolve the matter through good-faith negotiation

2. If negotiation fails, the parties agree to participate in mediation

3. If mediation is unsuccessful, disputes will be resolved through binding arbitration

The prevailing party in any dispute shall be entitled to recover reasonable legal fees and costs.

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to conflict of law principles.

For clients located outside Ghana, we acknowledge that certain local consumer protection laws may apply to you. Nothing in these Terms limits any rights you may have under mandatory local laws that cannot be waived by contract.

Any legal action arising from these Terms shall be brought in the appropriate courts of Ghana, located in Accra. However, we are committed to resolving disputes amicably through the dispute resolution process outlined above before pursuing legal action.

• **Entire Agreement**: These Terms, together with any project agreements, constitute the entire agreement between the parties.

• **Severability**: If any provision is found unenforceable, the remaining provisions remain in effect.

• **Waiver**: Failure to enforce any provision does not constitute a waiver of that provision.

• **Assignment**: You may not assign these Terms without our written consent.

• **Amendments**: We may update these Terms by posting changes on our website. Continued use constitutes acceptance.
